Legal Officer job in Kenya

Position: Legal Officer

TalentRecruit Ltd seeks to recruit a Legal Officer for one of its clients, a bank. 

The successful candidate will act as the bank’s Legal Advisor and extend similar services to other companies within the Group as may be required.

Key Tasks and Responsibilities
  • Guide the management on legal matters, and ensure adherence to the Companies Act, Central Bank Act, Banking Act, CMA Act and other legislation.
  • Ensure compliance with regulations issued from time to time by the Nairobi Stock Exchange, Central Bank of Kenya, Capital Markets Authority.
  • Review any changes in legislation, thereafter forwarding the same timely in the form of legal updates to respective departments for information, action and compliance.
  • Provide legal advice on Agreements, contracts and other bank commitments.
  • Review of the Bank’s legal documentation e.g. letters of offer, facility agreements, debentures or any other security documentation to ensure that the Bank’s interests are well protected.
  • Process execution of security documentation and other bank wide Agreements and maintain proper record thereof.
  • Represent Bank in court / and all related legal matters.
  • Ensure the application of provisions in statute to the Bank’s business operations and environment.
  • Support the Company Secretary in the provision of Company Secretarial services and the supervision of the Shares Registry function. 
  • Support the Shares Department on shareholder related issues from time to time.
Qualification/Experience
  • Bachelor of Laws Degree
  • Advocate of the High Court of Kenya
  • Previous work experience in a bank
  • An individual with structured approach to dealing with complex and variable work environments in an independent manner
  • Ability to balance opposing business requirements
  • Ability to balance long term and short term requirements independently
  • Strong evaluation, communication and reporting skills
  • Able to provide advice and cause/effect evaluation to support business decision making
